Acquisition gives Lilly late-stage psychedelic pipeline targeting treatment-resistant depression and major psychiatric disorders
Eli Lilly has agreed to acquire AtaiBeckley in a deal worth up to $3.8 billion, marking the pharmaceutical giant's entry into the rapidly evolving psychedelic therapeutics market.
The acquisition strengthens Lilly's neuroscience portfolio with a pipeline of late-stage psychedelic-based therapies aimed at treatment-resistant depression (TRD), major depressive disorder (MDD) and other difficult-to-treat psychiatric conditions.
The transaction is expected to close during the third quarter of 2026.
Lilly Expands Neuroscience Portfolio Through AtaiBeckley Acquisition
Under the agreement, Lilly will acquire all outstanding shares of AtaiBeckley for $6.75 per share in cash, valuing the company at approximately $2.8 billion.
Shareholders will also be eligible to receive a contingent value right (CVR) worth $2.50 per share, representing around $1 billion in additional milestone payments linked to the clinical and regulatory progress of the company's lead psychedelic programmes.
The acquisition follows months of industry speculation that Lilly was evaluating opportunities within the psychedelic medicine sector.
BPL-003 Leads AtaiBeckley's Psychedelic Pipeline
The centrepiece of the acquisition is BPL-003, an intranasal formulation of mebufotenin benzoate currently being developed for treatment-resistant depression.
The therapy recently achieved both primary and secondary endpoints in a Phase IIb clinical trial, with a global Phase III programme already underway.
Lilly will also acquire VLS-01, an oral transmucosal film formulation of N,N-Dimethyltryptamine (DMT), which is expected to enter late-stage clinical development for major depressive disorder.
A third pipeline candidate, EMP-01, is an oral formulation of R-MDMA being investigated as a treatment for social anxiety disorder.
Together, the portfolio provides Lilly with multiple late-stage assets targeting significant unmet needs across psychiatry.
