Patient and Public Participant Terms

For patients, carers and members of the public

1. About these terms

 

These terms apply when you take part in a survey, interview, discussion, educational activity, consultation or other activity organised or administered by nuaxia Limited.

In these terms, each is called an Activity.

 

These terms apply when you participate because of:

  • your experience as a patient;

  • your experience caring for someone;

  • your personal experience or opinions; or

  • your membership of the public.

 

If you participate because of your professional role or qualifications, the separate Participant Terms will normally apply instead.

 

These terms apply whether you take part through:

  • an individual email link;

  • a survey or interview platform;

  • a nuaxia website, portal or app;

  • a third-party recruitment organisation; or

  • another method approved by nuaxia.

 

By starting an Activity after being shown or directed to these terms, you agree to comply with them.

3. Information about an Activity

 

Before or at the beginning of an Activity, you will normally be told:

  • what the Activity is about;

  • approximately how long it should take;

  • whether an Honorarium is offered;

  • whether it will be recorded;

  • whether confidential materials will be shown;

  • how your personal information will be used; and

  • whether information about side effects or product complaints may need to be reported.

 

You may also be asked screening questions to see whether the Activity is suitable for you.

 

nuaxia does not have to disclose every screening or quota requirement in advance. This helps protect the fairness and integrity of the Activity.

 

Information given specifically for an Activity may add to these terms.

 

Where there is a conflict, specific consent, recording, confidentiality or safety information given for the Activity will take priority.

 

4. Who may participate

 

Unless an Activity clearly states otherwise, you must:

  • be at least 18 years old or the age of legal majority required in your country;

  • answer for yourself;

  • meet the eligibility requirements;

  • provide information that is accurate to the best of your knowledge; and

  • be permitted to accept any Honorarium offered.

 

A person under 18 may participate only where the Activity has been specifically designed for younger participants and the necessary consent and safeguarding arrangements have been put in place.

 

An invitation does not guarantee that you will qualify.

 

You may be unable to take part because:

  • your answers do not meet the screening requirements;

  • the relevant quota is full;

  • enough people with similar characteristics have already participated;

  • the Activity has been changed, paused or closed; or

  • the organisation commissioning the Activity has withdrawn it.

 

Unless you are told otherwise, no Honorarium is payable for answering screening questions where you do not qualify.

 

5. Participation is voluntary

 

Taking part is your choice.

 

You may:

  • decline an invitation;

  • stop an Activity at any time; or

  • ask not to receive similar invitations in future.

 

Choosing not to participate, or stopping an Activity, will not affect:

  • your healthcare or treatment;

  • your relationship with a healthcare professional;

  • your entitlement to public services or benefits; or

  • your relationship with an employer or other organisation.

 

Unless you are told otherwise, no Honorarium is payable if you choose not to complete the Activity.

 

Stopping an Activity does not necessarily mean that information already supplied must be deleted.

 

It may not be possible to remove information that has already been:

  • anonymised;

  • combined with other people’s answers; or

  • included in an analysis in a form that no longer identifies you.

 

Requests concerning your personal information will be handled under the applicable Privacy Notice and data-protection law.

 

6. How you should participate

 

You should:

  • read the questions and instructions carefully;

  • answer honestly and to the best of your knowledge;

  • give your own views and experiences;

  • complete the Activity yourself; and

  • tell nuaxia if a technical problem materially affects your participation.

 

You must not:

  • pretend to be another person;

  • give false or deliberately misleading information;

  • take part more than once unless invited to do so;

  • use another person’s invitation, account or survey link;

  • sell or transfer an invitation;

  • use automated tools, scripts or bots;

  • use artificial intelligence or another person to create your answers unless the Activity expressly permits this;

  • deliberately rush through without considering the questions; or

  • try to manipulate screening, quotas or quality checks.

 

You may discuss your own experiences where the Activity asks you to do so.

 

You should not provide:

  • another person’s name;

  • information that could identify another patient;

  • another person’s medical records; or

  • confidential information belonging to another person or organisation,

unless the Activity specifically requests it and you are entitled to provide it.

 

7. Quality checks

 

nuaxia may carry out reasonable checks to confirm that:

  • you were eligible;

  • you completed the Activity yourself;

  • the Activity was completed only once;

  • the answers appear genuine and relevant; and

  • there is no evidence of fraud or misuse.

 

A completion may be rejected if nuaxia reasonably concludes that:

  • important eligibility information was false;

  • another person completed the Activity;

  • answers were copied, automated or generated improperly;

  • the same Activity was completed more than once;

  • the answers were random or deliberately meaningless; or

  • there was fraud or attempted manipulation.

 

Having an unusual opinion, experience or treatment outcome does not by itself make an answer invalid.

 

Where reasonably possible, nuaxia will explain why a completion was rejected if you ask.

 

8. Honoraria

 

8.1 When an Honorarium is payable

 

Where an Honorarium is offered, you will be told its amount or value before taking part.

 

Unless you are told otherwise, an Honorarium becomes payable only after a valid completion.

 

No Honorarium is normally payable where:

  • you do not qualify;

  • the quota is already full;

  • you answer only the screening questions;

  • you stop before completing the Activity; or

  • the completion is reasonably found to be invalid.

 

The Honorarium is compensation for your time and contribution. It is not payment for choosing a particular answer, product, treatment or healthcare provider.

 

8.2 Digital rewards

 

nuaxia normally issues Honoraria as digital rewards through Tremendous.

 

Tremendous will email the reward to the email address held for you or provided for the Activity.

 

You will be able to select from the redemption options available for your country and reward value. Tremendous limits the options shown according to factors such as location, currency and denomination.

 

nuaxia issues the Honorarium through Tremendous rather than paying you directly in cash or by bank transfer.

 

You are responsible for making sure that the email address supplied to nuaxia is correct and accessible.

 

8.3 Timing

 

nuaxia normally processes Honoraria weekly.

 

Subject to validation, nuaxia will normally arrange for your reward to be issued within 10 calendar days of completing the Activity and generally in less than two weeks.

 

There may be a delay if:

  • eligibility or response quality needs to be checked;

  • your email or other information is incorrect;

  • further information is reasonably required from you;

  • Tremendous or another supporting service experiences a technical problem; or

  • circumstances outside nuaxia’s reasonable control prevent issue.

 

nuaxia will take reasonable steps to resolve any delay.

 

8.4 Redemption enquiries

 

After the reward has been issued, Tremendous manages the reward email and redemption process.

 

Questions about:

  • opening or accessing the reward;

  • available redemption options;

  • redeeming a selected reward;

  • replacing an inaccessible reward link; or

  • problems with a selected reward

should normally be directed to Tremendous using the support route in the reward email.

 

Questions about whether nuaxia has issued the reward, its value or the email address used should be directed to nuaxia.

 

8.5 Accumulating Honoraria

 

Eligible participants in the following countries may choose to accumulate Honoraria for later redemption:

  • United States;

  • France;

  • Germany;

  • Italy;

  • Spain;

  • United Kingdom; and

  • Canada.

 

Where you choose to accumulate Honoraria, nuaxia will keep a record of validated amounts rather than issuing a separate reward after each Activity.

nuaxia will arrange for the balance to be issued through Tremendous.

 

An accumulated balance:

  • is not a bank account;

  • does not earn interest;

  • cannot normally be transferred to someone else; and

  • is redeemable only through the process offered by nuaxia.

 

8.6 Inactive balances

 

nuaxia reserves the right to lapse an accumulated balance where you have been inactive for more than three consecutive years.

 

You will normally be treated as inactive where, during that period, you have neither:

  • completed an eligible Activity; nor

  • contacted nuaxia about your participation or balance.

 

Before lapsing a balance, nuaxia will take reasonable steps to contact you using the latest email address held for you and will allow at least 30 days for you to request redemption.

A balance will not be lapsed where applicable law does not allow it.

9. Technical problems and cancelled Activities

 

nuaxia cannot guarantee that every Activity or supporting system will always operate without interruption.

 

You should contact nuaxia promptly if a technical problem prevents you from continuing.

 

Where a problem attributable to nuaxia prevents completion after you have completed a substantial part of an Activity, nuaxia will review what happened and seek a fair solution.

This may include:

  • restoring access;

  • allowing you to continue another way;

  • accepting information already submitted; or

  • providing some or all of the Honorarium where appropriate.

 

No Honorarium is automatically payable simply because an Activity was opened or partly completed.

 

If an Activity is closed after you have already made a valid completion, your entitlement to the agreed Honorarium will not be affected.

 

10. Confidential information

 

An Activity may show you information that is confidential or not yet public, such as:

  • product ideas;

  • draft information;

  • proposed services;

  • images, videos or other materials;

  • unpublished research; or

  • information about the organisation commissioning the Activity.

 

Where information is identified as confidential, or would reasonably be understood to be confidential, you must:

  • use it only for taking part in the Activity;

  • not share it with another person;

  • not post it online or on social media;

  • not take screenshots, photographs or recordings;

  • not copy or download it unless you are allowed to do so; and

  • keep it reasonably secure.

 

These restrictions do not apply to information that:

  • was already publicly available;

  • later becomes public without a breach of these terms;

  • you already lawfully knew without a confidentiality restriction; or

  • you are legally required to disclose.

 

Your confidentiality obligation continues while the information remains confidential.

 

11. Your answers and recordings

 

nuaxia and the organisations involved in the Activity may use your answers to:

  • conduct the Activity;

  • analyse results;

  • prepare reports and presentations;

  • improve research, educational materials or services; and

  • meet legal and regulatory requirements.

 

Results will normally be reported without identifying you unless you have been clearly told otherwise.

 

To the extent that intellectual-property rights arise in answers you provide specifically for an Activity, you give nuaxia and the relevant Client permission to use, copy, analyse, translate, adapt and include those answers in work connected with the Activity.

 

This does not allow public use of your:

  • name;

  • photograph;

  • image;

  • voice; or

  • identifiable quotation

unless this has been clearly explained and separately agreed.

 

You will be told before participating if an Activity will be audio- or video-recorded.

 

A recording will not be used publicly in an identifiable form unless you have separately agreed to that use.

 

You must not make your own recording of an Activity without permission.

 

12. Privacy and follow-up contact

 

nuaxia’s use of personal information is explained in its Privacy Notice and any information given for the particular Activity.

 

The privacy information must explain matters such as why information is used, how long it is kept and who it may be shared with, in clear and accessible language.

 

Depending on the Activity, nuaxia may use personal information to:

  • assess eligibility;

  • administer participation;

  • analyse answers;

  • carry out quality and fraud checks;

  • issue an Honorarium;

  • comply with legal or regulatory duties; and

  • contact you about the same Activity.

 

nuaxia may contact you after an Activity to:

  • clarify an answer;

  • check eligibility or response quality;

  • resolve a technical issue;

  • administer an Honorarium;

  • investigate possible duplication or fraud; or

  • follow up safety information where applicable.

 

Agreeing to Activity-related follow-up does not, by itself, mean that you agree to receive:

  • marketing;

  • news alerts;

  • unrelated research invitations; or

  • other optional communications.

 

Those communications will be governed by the preferences or permissions you have separately provided.

 

13. Side effects and product complaints

 

An Activity about a medicine, medical device or healthcare product may reveal information concerning:

  • a side effect or adverse event;

  • a product complaint;

  • product misuse;

  • pregnancy exposure;

  • lack of effectiveness; or

  • another safety issue.

 

Where this is relevant, the Activity information will explain:

  • that the information may need to be reported;

  • who may receive it;

  • whether someone may contact you for more information; and

  • whether your identity or contact details may be disclosed.

 

nuaxia may report safety information where required by law or by the agreed safety-reporting process.

 

Your identity will be disclosed only where the disclosure is lawful and consistent with the information given to you for the Activity.

 

Adverse-event and product-complaint reporting requirements are addressed separately from the general healthcare market-research terms in BHBIA guidance, which supports giving clear project-specific information where reporting may occur.

 

14. No medical advice or treatment

 

An Activity may contain general medical, scientific or healthcare information.

 

It does not provide personal medical advice, diagnosis or treatment.

 

Taking part in an Activity:

  • does not create a healthcare professional–patient relationship with nuaxia;

  • is not a substitute for speaking to your doctor or another qualified healthcare professional; and

  • will not change your treatment unless your healthcare professional separately decides that a change is appropriate.

 

Do not delay seeking medical help because of something shown or discussed during an Activity.

 

In a medical emergency, contact the emergency services or an appropriate healthcare professional.

 

15. Accounts and individual links

 

Where you are given an account, access code or individual Activity link, you must keep it secure.

 

You must not:

  • share it with another person;

  • allow another person to participate using your identity;

  • sell or transfer access;

  • create duplicate accounts to receive additional Honoraria; or

  • try to access another participant’s information.

 

Tell nuaxia promptly if you believe an account or link has been used without your permission.

 

nuaxia may temporarily restrict access while a suspected security or identity issue is investigated.

 

16. Suspension and future participation

 

nuaxia may withdraw an invitation, reject a completion or restrict future participation where it reasonably believes that:

  • these terms have been seriously breached;

  • important information was false or misleading;

  • an account or link was shared;

  • duplicate participation occurred;

  • fraud or manipulation was attempted;

  • repeated quality problems have arisen; or

  • continuing access would create a legal, regulatory or security risk.

 

Where reasonably possible, nuaxia will explain the reason and allow you to provide relevant information.

 

nuaxia may delay the affected Honorarium while a genuine eligibility, quality or fraud concern is investigated.

 

An issue concerning one Activity will not automatically remove your right to a valid and undisputed Honorarium earned from another Activity.

 

17. Third-party organisations

 

nuaxia may use:

  • recruitment organisations;

  • survey and interview platforms;

  • technology providers;

  • translators;

  • rewards providers; and

  • other service providers

 

to support an Activity.

 

If another organisation introduces you to an Activity, that organisation may have its own privacy information or terms.

 

A statement or promise made by another organisation does not bind nuaxia unless nuaxia has confirmed it.

 

Tremendous may apply its own terms to the delivery and redemption of digital rewards.

 

18. Our responsibility to you

 

Nothing in these terms limits rights or remedies that cannot legally be limited.

 

nuaxia does not exclude or limit responsibility for:

  • death or personal injury caused by its negligence;

  • fraud or fraudulent misrepresentation; or

  • an Honorarium that is properly due.

 

nuaxia will be responsible for reasonably foreseeable loss caused by its breach of these terms or its failure to use reasonable care.

 

nuaxia will not normally be responsible for loss caused by:

  • inaccurate information that you supplied;

  • your decision to rely on general Activity content as personal medical advice;

  • a system or service outside nuaxia’s reasonable control; or

  • a separate promise made by another organisation that nuaxia did not confirm.

 

Nothing in these terms affects your statutory rights.

 

19. Changes to these terms

 

nuaxia may update these terms for future Activities where its services, technology, operating practices or legal requirements change.

 

The updated version will apply to Activities started after its effective date.

 

nuaxia will not normally change the terms of an Activity after you have started it unless:

  • the change is required by law;

  • it is reasonably necessary to address an important safety or security issue; or

  • you agree to the change.

 

20. Governing law and resolving concerns

 

These terms are governed by English law.

 

This does not remove any mandatory rights or protections that apply under the law of the country where you live or participate.

 

The courts of England and Wales have non-exclusive jurisdiction.

 

Before starting formal proceedings, you and nuaxia should make reasonable efforts to resolve the concern directly.

Questions or complaints about an Activity should be sent using the contact information included in the invitation or Activity.
