Participant Terms
For healthcare professionals and other professional respondents

1. About these terms
These Participant Terms govern your participation in surveys, interviews, discussions, educational activities, assessments, consultations and other professional engagements organised or administered by nuaxia Limited.
In these terms, each such engagement is called an Activity.
These terms apply whether you participate through:
-
a nuaxia account;
-
a nuaxia portal or app;
-
an individual email link;
-
a survey or interview platform;
-
a third-party recruitment partner; or
-
another access method provided or approved by nuaxia.
By starting an Activity after being provided with, or directed to, these terms, you agree to comply with them. In some Activities, you may also be asked to confirm your acceptance through a checkbox or other acceptance step.
These terms are intended for healthcare professionals and other people participating because of their professional role, qualifications or experience. Separate terms apply to patients and members of the public participating in a personal rather than professional capacity.

3. Definitions
In these terms:
-
Account means a nuaxia account or professional profile used to access Activities or related services.
-
Activity Information means the invitation, introductory information, survey acceptance wording and other information provided for a particular Activity.
-
Client means an organisation for which nuaxia carries out or supports an Activity, whether directly or through an agency or other intermediary.
-
End Client means the ultimate organisation for whose benefit an Activity is carried out, where different from the Client.
-
Healthcare Professional or HCP means a person participating because of their healthcare qualifications, professional role or experience.
-
Honorarium means a digital reward or other compensation offered for eligible participation in an Activity.
-
Participant means an HCP or other professional respondent taking part in an Activity.
-
Valid Completion means completion of an Activity in accordance with the eligibility, participation and quality requirements described in these terms and the Activity Information.
4. Activity-specific information
Before or at the beginning of an Activity, you will normally be given relevant information such as:
-
the subject of the Activity;
-
the expected duration;
-
the Honorarium, if any;
-
whether audio or video recording is involved;
-
any important confidentiality requirements;
-
relevant privacy information; and
-
any applicable adverse-event or product-complaint reporting information.
Eligibility may be assessed using information already held in your professional profile and through screening questions presented before or during the Activity.
nuaxia is not required to disclose all eligibility or quota criteria in advance. This helps protect the integrity of the screening and validation process.
Activity Information may supplement these terms.
If there is a conflict, the following order of priority applies:
-
specific consent, recording, confidentiality or safety-reporting terms presented for the Activity;
-
the Activity Information;
-
these Participant Terms; and
-
the Website Terms, in relation to general and technical use of nuaxia websites, portals and apps.
The Privacy Notice explains how personal information is used but does not override these contractual terms.
5. Acceptance and Activity-specific agreement
You may be asked to confirm that you agree to these Participant Terms before taking part in an Activity or when first activating or using a nuaxia Account.
You will also be given access to the applicable Privacy Notice. By proceeding, you acknowledge that you have been given the opportunity to read that notice.
Depending on the Activity, you may also be asked to acknowledge or agree to specific provisions concerning:
-
confidential materials;
-
audio or video recording;
-
Client observation;
-
adverse-event or product-complaint reporting;
-
disclosure of your identity;
-
use of identifiable quotations, images or recordings; and
-
follow-up contact connected with the Activity.
Where a separate agreement is requested, you must provide it before taking part in the relevant part of the Activity.
nuaxia may contact you after an Activity for:
-
clarification of a response;
-
eligibility or quality validation;
-
resolution of a technical issue;
-
administration of an Honorarium;
-
investigation of suspected fraud or duplication; or
-
adverse-event or product-complaint follow-up where applicable.
Agreement to Activity-related contact does not, by itself, constitute agreement to receive unrelated research invitations, alerts or marketing communications.
6. Eligibility
To participate, you must:
-
be at least 18 years old or the legal age required in your country;
-
have legal capacity to agree to these terms;
-
satisfy the eligibility criteria for the Activity;
-
provide accurate and current information about your identity, professional status, experience and eligibility;
-
participate personally and not ask another person to participate for you;
-
comply with applicable laws, professional rules and employer policies; and
-
be permitted to accept any Honorarium offered.
You must tell nuaxia promptly if information relevant to your eligibility is incorrect or has materially changed.
nuaxia may request reasonable evidence of:
-
identity;
-
professional qualifications or registration;
-
role or specialty;
-
workplace;
-
relevant experience; or
-
entitlement to receive an Honorarium.
Providing proof of status does not guarantee eligibility for a particular Activity.
You must not participate where doing so would:
-
breach an obligation to your employer or another organisation;
-
require you to disclose confidential information improperly;
-
create an undisclosed conflict of interest; or
-
breach a professional, legal or regulatory requirement.
7. Invitations, profiling, screening and quotas
nuaxia may use information held in your professional profile to identify Activities that may be relevant to your role, specialty, experience or location.
An invitation to an Activity does not guarantee that you will qualify or receive an Honorarium.
Final eligibility may be determined through screening questions presented before or during the Activity.
You may be unable to participate because:
-
you do not meet the eligibility criteria;
-
the required quota has already been filled;
-
the Activity has been paused, changed or closed;
-
sufficient Participants with your characteristics have already taken part; or
-
a Client changes or withdraws the Activity.
Unless the Activity Information states otherwise:
-
no Honorarium is payable for completing screening questions alone;
-
no Honorarium is payable where you do not qualify;
-
no Honorarium is payable where the quota is full before you enter or complete the main Activity; and
-
qualification for one Activity does not guarantee qualification for another.
nuaxia may apply eligibility and quota rules automatically through the relevant survey or Activity platform.
8. Voluntary participation
Participation is voluntary.
You may:
-
decline an invitation;
-
stop an Activity before completion; or
-
ask not to receive similar invitations in future.
Unless the Activity Information states otherwise, no Honorarium is payable where you choose not to complete an Activity.
Stopping an Activity does not necessarily require deletion of information already supplied. Requests concerning personal information will be handled under the applicable Privacy Notice and data-protection laws.
It may not be possible to remove information that has already been:
-
irreversibly anonymised;
-
combined into aggregated results; or
-
incorporated into an analysis in a form that no longer identifies you.
Declining or withdrawing from an Activity will not affect your access to healthcare or your relationship with your employer, professional body or healthcare provider.
9. How you must participate
You must:
-
read the questions and instructions carefully;
-
answer honestly and to the best of your knowledge;
-
provide your own views and professional judgement;
-
complete the Activity personally;
-
give reasonable attention and consideration to your answers;
-
distinguish between fact, recollection, estimate and opinion where relevant;
-
comply with reasonable Activity instructions; and
-
notify nuaxia if a technical problem materially affects your participation.
You must not:
-
provide false or misleading information;
-
misrepresent your identity, qualifications, specialty, experience or workplace;
-
create or use multiple Accounts to obtain additional invitations or Honoraria;
-
complete the same Activity more than once unless expressly invited to do so;
-
use another person’s Account, invitation or survey link;
-
transfer or sell an invitation;
-
provide random, deliberately inconsistent or meaningless answers;
-
deliberately rush through an Activity without properly considering it;
-
use bots, scripts, automated systems or other tools to complete an Activity;
-
use generative artificial intelligence or third-party assistance to produce your responses unless the Activity expressly permits it;
-
copy answers from another Participant or source;
-
attempt to manipulate eligibility, quotas or quality controls; or
-
interfere with the survey, portal, app or other supporting technology.
You must not disclose:
-
patient-identifiable information;
-
confidential employer information;
-
confidential information belonging to another organisation; or
-
personal information about another individual,
unless the Activity specifically requests it and you are legally and professionally permitted to provide it.
10. Quality and validation
nuaxia may carry out reasonable checks to confirm:
-
identity and professional status;
-
eligibility;
-
completion;
-
response consistency and relevance;
-
duplicate participation;
-
appropriate attention to the Activity;
-
authenticity of open-text responses; and
-
possible fraud or misuse.
A response may be treated as invalid where nuaxia reasonably concludes that:
-
the Participant was not eligible;
-
the Activity was not completed personally;
-
material information was false or misleading;
-
responses were duplicated, automated, copied or generated improperly;
-
the Participant did not reasonably engage with the Activity;
-
the response did not comply with material Activity instructions; or
-
fraud, manipulation or misuse occurred.
A difference in professional opinion, clinical practice or interpretation does not by itself make a response invalid.
Where there is a reasonable quality concern, nuaxia may:
-
request clarification;
-
verify relevant information;
-
review the affected response;
-
suspend the affected Honorarium while the matter is investigated;
-
exclude an invalid response;
-
prevent repeat participation in the same Activity; or
-
restrict future access where there is evidence of serious or repeated misuse.
Where reasonably practicable, nuaxia will explain why a completion has been rejected if you ask.
An issue affecting one Activity will not automatically result in the loss of valid and undisputed Honoraria earned from other Activities.
11. Honoraria
11.1 When an Honorarium is payable
Where an Honorarium is offered, the Activity Information will state its amount or value and currency.
An Honorarium is intended to compensate you for the time and professional expertise involved in the Activity. It is not offered to influence any:
-
prescribing;
-
purchasing;
-
referral;
-
formulary;
-
reimbursement;
-
procurement; or
-
other professional or commercial decision.
Unless the Activity Information states otherwise, the Honorarium becomes due only following a Valid Completion.
No Honorarium is normally payable where:
-
you do not meet the eligibility criteria;
-
the relevant quota is already full;
-
you complete only the screening questions;
-
you stop before completing the Activity; or
-
your completion is reasonably determined to be invalid under these terms.
11.2 Digital rewards
Honoraria are normally provided as digital rewards through Tremendous, a US-based rewards provider.
Tremendous will send the reward to the email address held for you or supplied for the Activity. You will be able to choose from the redemption options that Tremendous makes available for your country.
Available options may vary according to:
-
country;
-
currency;
-
availability;
-
local restrictions; and
-
the Tremendous reward catalogue in effect when the reward is issued.
Honoraria are not normally paid by nuaxia as cash or by bank transfer.
You are responsible for ensuring that nuaxia holds an accurate and accessible email address for you.
11.3 Timing
nuaxia normally processes Honoraria weekly.
Subject to validation of your completion, nuaxia will normally arrange for the digital reward to be issued within 10 calendar days after your Valid Completion and generally in less than two weeks.
A delay may occur where:
-
eligibility or response quality requires reasonable review;
-
payment or contact information is missing or inaccurate;
-
a technical or supplier issue arises;
-
further information is reasonably required from you; or
-
circumstances outside nuaxia’s reasonable control prevent timely issue.
nuaxia will take reasonable steps to resolve any such delay.
11.4 Reward and redemption enquiries
After a reward has been issued, Tremendous will provide the reward email and redemption process.
Questions concerning matters such as:
-
opening the reward link;
-
the available redemption options;
-
selecting or redeeming a reward;
-
replacement of an expired or inaccessible redemption link; or
-
difficulties with a selected reward
should normally be directed to Tremendous through the support route provided in the reward email.
Questions about whether nuaxia has issued the reward, the amount due or the email address used should be directed to nuaxia.
11.5 Accumulating Honoraria
Eligible Participants in the following countries may choose to accumulate Honoraria for later redemption:
-
United States;
-
France;
-
Germany;
-
Italy;
-
Spain;
-
United Kingdom; and
-
Canada.
Where you choose this option, nuaxia will record the value of validated Honoraria in your accumulated incentive balance rather than immediately issuing an individual reward.
To request redemption of an accumulated balance, contact:
nuaxia will then arrange for the balance to be issued as a digital reward through Tremendous.
An accumulated incentive balance:
-
is a record of Honoraria earned but not yet issued;
-
is not a bank or payment account;
-
does not earn interest;
-
cannot normally be transferred to another person; and
-
can be redeemed only through the reward process made available by nuaxia.
11.6 Inactive balances
Where you have been inactive for more than three consecutive years, nuaxia reserves the right to lapse an unredeemed accumulated incentive balance.
For this purpose, you will normally be treated as inactive where, for three consecutive years, you have neither:
-
completed an eligible Activity; nor
-
contacted nuaxia concerning your Account or accumulated balance.
Before lapsing a balance, nuaxia will take reasonable steps to notify you using the most recent email address held for you and allow at least 30 days for you to request redemption.
A balance will not be lapsed where doing so would be prohibited by applicable law.
11.7 Taxes and professional obligations
You are responsible for:
-
determining whether you are permitted to accept the Honorarium;
-
complying with applicable employer, institutional or professional rules;
-
meeting any personal tax or reporting obligations; and
-
making any disclosure required by applicable law or an industry code.
nuaxia may withhold, report or disclose Honorarium information where required by law.
12. Technical problems and cancelled Activities
nuaxia does not guarantee that an Activity or supporting technology will always be available or uninterrupted.
If a technical problem occurs, you should contact nuaxia promptly and provide reasonable information to help investigate it.
Where a technical problem attributable to nuaxia prevents completion after you have substantially completed an Activity, nuaxia will review the circumstances and seek a fair resolution. This may include:
-
restoring access;
-
allowing completion through another route;
-
accepting the completed information;
-
providing a partial or full Honorarium where appropriate; or
-
offering another reasonable remedy.
No Honorarium is automatically payable merely because an Activity was opened or partly completed.
Where nuaxia or the Client closes an Activity after your Valid Completion, your entitlement to the agreed Honorarium will not be affected.
13. Confidentiality
An Activity may include confidential or commercially sensitive information, such as:
-
unpublished scientific or medical information;
-
product concepts;
-
pipeline information;
-
draft materials;
-
research questions or methodologies;
-
Client or End Client information;
-
images, videos or other stimulus materials;
-
preliminary findings; or
-
information about a planned commercial or educational activity.
Information is confidential where it:
-
is identified as confidential;
-
is not publicly available and would reasonably be understood to be confidential; or
-
is provided in circumstances where confidentiality would reasonably be expected.
You must:
-
use confidential Activity information only for participating in the Activity;
-
keep it secure;
-
not disclose it to another person;
-
not post or discuss it on social media or another public forum;
-
not take screenshots, photographs, audio recordings or video recordings;
-
not copy, download or retain it except where expressly permitted;
-
not use it for your own or another person’s commercial advantage;
-
not use it to trade in securities or make investment decisions; and
-
not attempt to identify or contact a Client or End Client whose identity has intentionally not been disclosed.
These restrictions do not apply to information that you can demonstrate:
-
was already lawfully known to you without a confidentiality restriction;
-
becomes public without a breach of these terms;
-
is received lawfully from another source without a confidentiality restriction; or
-
must be disclosed by law or a competent authority.
Where lawful and reasonably practicable, you should notify nuaxia before making a required disclosure.
Your confidentiality obligations continue for as long as the relevant information remains confidential.
14. Responses and intellectual property
You retain ownership of materials that you created independently of the Activity and brought to it, subject to any rights belonging to your employer or another person.
To the extent that your responses or contributions create intellectual-property rights, you grant nuaxia and the relevant Client and End Client a:
-
worldwide;
-
perpetual;
-
irrevocable;
-
royalty-free;
-
transferable and sublicensable;
-
non-exclusive
licence to use, copy, store, analyse, translate, adapt, combine, reproduce and include those responses in research, educational, analytical, compliance and project Deliverables connected with the Activity.
This licence does not permit public use of your name, image, voice or identifiable quotation unless:
-
you have separately agreed to that use;
-
the Activity Information clearly permits it; or
-
the use is otherwise lawful.
nuaxia and its Clients may use anonymised or aggregated responses without identifying you.
Where an Activity is intended to create public-facing media, testimonials, authored content or other identifiable materials, separate consent or release terms will be provided.
15. Audio and video recordings
nuaxia will tell you before an Activity if audio or video recording is planned.
You may be asked to provide separate agreement to:
-
recording;
-
transcription;
-
analysis;
-
sharing with the Client or End Client;
-
use of extracts; or
-
public or educational use.
You are not required to participate in a recorded Activity unless recording is an essential and clearly disclosed part of that Activity.
You must not make your own recording of an Activity without nuaxia’s prior written permission.
A recording will not be used publicly in an identifiable form unless that use has been clearly explained and separately authorised.
16. Privacy
nuaxia’s collection and use of personal information is explained in its Privacy Notice and any Activity-specific privacy information.
Depending on the Activity, personal information may be used for purposes including:
-
maintaining and updating your professional profile;
-
verifying identity and professional status;
-
identifying potentially relevant Activities;
-
assessing eligibility;
-
administering participation;
-
carrying out quality and fraud checks;
-
arranging Honoraria;
-
analysing and reporting responses;
-
complying with legal or regulatory obligations; and
-
contacting you about the same Activity or an agreed follow-up.
Acceptance of these Participant Terms does not, by itself, constitute consent to receive optional marketing, news alerts or unrelated communications for which separate permission is required.
Where you were introduced by a third-party recruiter or organisation, that third party may process your information under its own privacy notice. nuaxia remains responsible for explaining its own use of the information it receives or collects.
17. Adverse events and product complaints
An Activity concerning a medicine, medical device or other healthcare product may generate information about:
-
an adverse event;
-
side effect;
-
product complaint;
-
product misuse;
-
pregnancy exposure;
-
lack of effectiveness; or
-
another safety matter.
Where relevant, the Activity Information or survey acceptance wording will explain:
-
that safety information may need to be reported;
-
who may receive it;
-
whether follow-up contact may occur; and
-
whether your identity or contact details may be disclosed.
nuaxia may report safety information where required by law, an applicable professional requirement or the agreed safety-reporting process.
nuaxia will disclose your identity only where that disclosure is lawful and consistent with the information provided for the Activity.
You must not provide patient-identifiable information unless:
-
the Activity expressly asks for it;
-
it is necessary;
-
you are permitted to disclose it; and
-
the relevant instructions explain how it will be handled.
18. Educational and professional content
An Activity may include medical, scientific, educational or professional information.
Such information is provided for research, educational or professional-development purposes and is not personal medical advice.
You remain responsible for:
-
exercising your own professional judgement;
-
checking information relevant to patient care;
-
following applicable clinical guidance;
-
complying with professional and ethical obligations; and
-
making your own prescribing, treatment or other professional decisions.
Participation in an Activity does not require you to agree with any particular clinical, scientific or commercial view.
19. Accounts, links and access credentials
You must keep Account details, passwords, access codes and individual Activity links secure.
You must not:
-
share access credentials or an individual survey link;
-
allow another person to use your Account;
-
buy, sell or transfer an Account;
-
create unnecessary duplicate Accounts;
-
attempt to access another Participant’s information; or
-
attempt to access an Activity for which you were not invited or eligible.
You must notify nuaxia promptly if you believe that:
-
your Account has been compromised;
-
an Activity link has been shared or accessed improperly; or
-
another person has used your identity or credentials.
nuaxia may suspend access while a suspected security issue is investigated.
20. Suspension and closure
nuaxia may suspend or close an Account, withdraw an invitation or restrict participation where it reasonably believes that:
-
these terms have been materially breached;
-
eligibility or profile information is false or misleading;
-
an Account or link has been shared or compromised;
-
fraud, duplication or manipulation has occurred;
-
repeated response-quality issues have arisen;
-
continued access creates a security, legal or regulatory risk; or
-
nuaxia is required to do so by law.
Where reasonably practicable, nuaxia will explain the reason and allow you to provide relevant information.
nuaxia may withhold an affected Honorarium while a genuine eligibility, quality or fraud issue is investigated.
Suspension or closure does not remove your entitlement to valid and undisputed Honoraria earned from other Activities.
You may ask nuaxia to:
-
close your Account;
-
stop sending invitations; or
-
update your communication preferences.
Closing an Account does not automatically require deletion of all associated records. Retention and deletion are governed by the Privacy Notice and applicable law.
21. Third-party recruiters and Tremendous
nuaxia may use recruitment agencies, professional networks, technology providers and other service providers to support Activities.
Where another organisation introduces you to an Activity:
-
these terms govern your relationship with nuaxia;
-
any additional terms imposed by that organisation govern your relationship with it; and
-
a promise made by that organisation does not bind nuaxia unless nuaxia has confirmed it.
Tremendous provides the digital reward email, redemption options and redemption support after nuaxia has issued an Honorarium.
Tremendous may apply its own reasonable terms to the use and redemption of its rewards.
22. Relationship with nuaxia
Participation does not make you:
-
an employee;
-
worker;
-
agent;
-
representative;
-
partner; or
-
permanent consultant
of nuaxia, a Client or an End Client.
You have no authority to make commitments or statements on behalf of nuaxia, a Client or an End Client.
An Honorarium is compensation for eligible participation in the relevant Activity and is not a salary or guarantee of future work.
23. Responsibility for loss
Nothing in these terms excludes or limits liability where it would be unlawful to do so, including liability for:
-
death or personal injury caused by negligence;
-
fraud or fraudulent misrepresentation; or
-
rights and remedies that cannot legally be excluded.
nuaxia is not responsible for:
-
professional, clinical, prescribing, purchasing or investment decisions made by you;
-
loss arising from your reliance on Activity content without exercising appropriate professional judgement;
-
loss caused by inaccurate information supplied by you;
-
interruption caused by systems or services outside nuaxia’s reasonable control;
-
a third party’s separate promise that nuaxia has not confirmed; or
-
indirect or consequential business loss.
Nothing in this clause affects an Honorarium that is properly due under these terms.
24. Changes to these terms
nuaxia may update these Participant Terms to reflect changes in:
-
its Activities or technology;
-
its operating practices;
-
legal or regulatory requirements; or
-
security and fraud risks.
The updated terms will apply to Activities started after their effective date.
A change will not normally alter the terms governing an Activity that you have already started, unless:
-
the change is required by law;
-
it is reasonably necessary to address a material security or safety risk; or
-
you expressly agree to it.
25. General provisions
If any provision of these terms is found invalid or unenforceable, the remaining provisions will continue to apply.
A delay by nuaxia in enforcing these terms does not prevent it from enforcing them later.
These terms do not give a third party a right to enforce them under the Contracts (Rights of Third Parties) Act 1999.
26. Governing law and disputes
These terms are governed by English law.
The courts of England and Wales have non-exclusive jurisdiction over disputes relating to these terms.
This does not deprive you of any mandatory rights or protections that apply under the law of the country in which you live or participate.
Before commencing formal proceedings, you and nuaxia should make reasonable efforts to resolve the issue directly.
27. Contacting nuaxia
Questions, Honorarium enquiries or complaints relating to an Activity may be sent through the contact route included in the relevant invitation.
Questions about accumulated Honoraria or requests to redeem an accumulated balance should be sent to:
